Contract disputes get harder once deadlines pass and positions harden

Early advice helps you protect your claims, preserve documents, and avoid steps that weaken your leverage, like accepting partial payment on the wrong terms or missing a notice requirement in the contract.

Deadlines apply. In California, lawsuits over a written contract generally must be filed within four years of the breach, and within two years for an oral contract. Your contract may also set shorter notice or cure periods.
  • A customer or client has stopped paying, or is disputing an invoice you believe is owed.
  • A vendor or supplier missed deliveries or performance deadlines and your business is losing money.
  • You received a demand letter, notice of default, or threat of a lawsuit claiming you breached.
  • The other side is trying to terminate or renegotiate a contract on terms you never agreed to.
  • A settlement or payment plan is not being honored.

Common questions

Contract dispute questions

Should I sue or negotiate first?
It depends on the amount at stake, the strength of your documents, deadlines, the business relationship, and whether the other side can pay a judgment. Many contract disputes resolve after a well-supported demand letter. The first step is an assessment, not a reflexive lawsuit.
Can I recover my attorney’s fees?
In California, each side usually pays its own fees unless the contract includes an attorney's fees clause or a statute allows recovery. If your contract has a fees clause, it generally applies to both sides, so it matters whether you are likely to prevail. We review this at the start.
What documents should I gather?
The signed contract and any amendments, purchase orders, invoices, payment records, emails and text messages, any demand letters or notices, and a short timeline of what happened and when.
What if my contract requires arbitration?
Many business contracts send disputes to arbitration instead of court. That changes the timeline, costs, and strategy, and in some cases the clause can be challenged. We review the dispute resolution terms early so you know which forum you are in.
Can you help before a lawsuit is filed?
Yes. Pre-litigation work can include sending or responding to a demand letter, preserving evidence, negotiating a payment or exit, and preparing for mediation before anything becomes public.
How are fees handled?
We provide paid representation for substantial business disputes and discuss fees and expected costs up front, before you commit to anything.
